Ouster, an automation company moving the world forward safely and efficiently, led by Angus Pacala, has announced that on February 4, 2026, it closed the acquisition of StereoLabs SAS (“StereoLabs”), a pioneer in AI vision and perception solutions, led by Cecile Schmollgruber, Olivier Braun, and Edwin Azzam.

With this acquisition, Ouster now provides a unified sensing and perception platform for Physical AI, integrating high-performance digital lidar, cameras, AI compute, sensor fusion and perception software, and advanced AI models.

Founded in 2010, StereoLabs delivers high-quality 3D vision technology for advanced perception systems. The company has shipped more than 90,000 ZED cameras to over 10,000 customers, with perception software widely used by a large developer community to power industrial-grade solutions across robotics, industrial, and smart infrastructure applications.

Co-founders Cécile Schmollgruber, Edwin Azzam, and Olivier Braun will continue leading the StereoLabs team, while Ouster plans to maintain continuity across the product portfolio, global customer relationships, and developer ecosystem.

Cécile Schmollgruber, CEO of StereoLabs, stated that the future of autonomy lies in unifying vision and lidar, with the combination of AI vision and digital lidar aimed at creating a highly capable perception platform that addresses core sensor-fusion needs and enables machines to sense, reason, and act in the physical world.

Ouster CEO Angus Pacala described the acquisition as strengthening Ouster’s position as an end-to-end sensing and perception platform for Physical AI. The integration of StereoLabs’ stereo cameras and AI vision software with Ouster’s lidar is intended to accelerate development, expand the customer base, leverage shared AI investments, and support the transition from basic automation toward real-world autonomy across industries.

Strategic Rationale

Comprehensive Single-Source Platform: Positions Ouster as an end-to-end sensing and perception platform for Physical AI, integrating digital lidar, cameras, AI compute, sensor fusion and perception software, and advanced AI models.

Accelerated Customer Development: Combines Ouster’s industrial-grade digital lidar with StereoLabs’ ZED cameras to deliver synchronized, calibrated data out of the box, uniting stereo vision density with lidar range and accuracy to improve safety, navigation, and object manipulation while reducing development cost and complexity.

Enhanced Software Capabilities: Leverages combined investments in AI training and in-house models to accelerate software innovation and expand customer capabilities.

Expanded Market Reach: Broadens total addressable market across robotics, industrial, and smart infrastructure, enabling new use cases in humanoid robotics, industrial automation, and visual inspection.

Stakeholder Value Creation: Strengthens the path to profitability by adding a high-growth, EBITDA-positive business, with StereoLabs generating approximately $16 million in unaudited revenue in 2025.

Transaction Summary

Ouster completed the acquisition of StereoLabs on February 4, 2026, with StereoLabs operating as a wholly owned subsidiary. The transaction included approximately $35 million in cash and 1.8 million shares, of which 0.7 million will vest over four years.

The deal will be accounted for as a business combination, with StereoLabs’ financial results consolidated into Ouster’s statements beginning in the first quarter of fiscal 2026.
